Scope and contract order
RentSpire provides software and related services to government and PHA entities for HUD Section 8 rent-reasonableness, compliance, and casework workflows. These terms apply to portal use unless a signed agreement, government contract, or purchase order governs the service. If there is a conflict, the executed government contract or purchase order controls.
Accounts and credentials
Each user must use an account authorized by the applicable PHA and keep credentials confidential. The PHA is responsible for its users, including promptly updating access when a user’s role changes or ends. Users must not share accounts, bypass access controls, or attempt to access data outside their assigned authority or role.
Acceptable use
You may use the service only for authorized PHA business and in compliance with applicable law, HUD requirements, and the governing contract. You must not misuse the service, interfere with its operation, introduce malicious code, probe or test security without written authorization, reverse engineer except where law cannot be waived, or use the service to violate another person’s rights.
Decision support; PHA responsibility
RentSpire outputs, including rent comparables, calculations, workflow prompts, and casework information, are decision-support tools. They are not a HUD determination, legal advice, or a rent-reasonableness certification. The PHA remains the decision-maker of record and is solely responsible for its own HUD compliance determinations, approvals, notices, certifications, and rent-reasonableness decisions.
PHA data
PHA data remains the PHA’s data. The PHA retains all rights in its records and is responsible for the accuracy, legality, and authority to provide data to RentSpire. RentSpire may process PHA data only to provide, secure, maintain, troubleshoot, and support the contracted service, as instructed by the PHA, and as otherwise permitted by the governing contract and law.
Availability and changes
RentSpire seeks to operate the service reliably, but does not promise uninterrupted or error-free availability in these terms. Maintenance, updates, third-party services, internet conditions, and events outside RentSpire’s reasonable control may affect access. Any service-level commitments are only those expressly stated in the governing contract or purchase order.
Fees, term, and termination
Fees, payment terms, the service term, renewal, and termination rights are determined by the signed agreement or applicable government purchase order. If those documents do not address a matter, the parties will address it in writing. Data return, deletion, and transition obligations are governed by the applicable contract, PHA instructions, and legal requirements.
Intellectual property
RentSpire and its licensors retain all rights in the service, software, documentation, and related materials, excluding PHA data. Subject to the governing contract and these terms, RentSpire grants authorized users a limited, nonexclusive, nontransferable right to use the service for the PHA’s internal authorized purposes during the applicable term.
Disclaimer of warranties
To the maximum extent permitted by applicable law and except as expressly stated in an executed contract, the service is provided “as is” and “as available.” RentSpire disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. This disclaimer does not limit warranties that cannot lawfully be disclaimed.
Limitation of liability
To the maximum extent permitted by applicable law and except as expressly stated in an executed contract, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from or related to the service. Any further limitation, cap, exception, or government-specific requirement is governed by the executed contract or purchase order.
Governing law
California law governs these terms, without regard to its conflict-of-laws rules, except to the extent superseded by an executed government contract, mandatory law, or a government entity’s applicable legal requirements.
